第十八條 設(shè)立分支機(jī)構(gòu)，應(yīng)當(dāng)提出設(shè)立申請(qǐng)，并符合下列條件：
Article 18 An insurance company to set up a branch shall make an application and satisfy the following conditions：
�。ㄒ唬┥弦荒甓葍敻赌芰Τ渥�，提交申請(qǐng)前連續(xù)2個(gè)季度償付能力均為充足；
(1) The solvency of the previous year is sufficient and the solvencies of two quarters continuously before the submittal of the application are sufficient;
�。ǘ┍ｋU(xiǎn)公司具備良好的公司治理結(jié)構(gòu)，內(nèi)控健全；
(2) The insurance company has excellent governance structure and sound internal control;
�。ㄈ┥暾�(qǐng)人具備完善的分支機(jī)構(gòu)管理制度；
(3) The applicant has a perfect branch management system;
�。ㄋ模⿲�(duì)擬設(shè)立分支機(jī)構(gòu)的可行性已進(jìn)行充分論證；
(4) The feasibility for the branch to be set up has undergone sufficient reasoning;
（五）在住所地以外的省、自治區(qū)、直轄市申請(qǐng)?jiān)O(shè)立省級(jí)分公司以外其他分支機(jī)構(gòu)的，該省級(jí)分公司已經(jīng)開業(yè)；
(5) where the insurance company is applying for the establishment of a branch out of the provincial-level branch in a province, autonomous region or municipality out of its home place, such provincial-level branch has opened for business;
�。┥暾�(qǐng)人最近2年內(nèi)無(wú)受金融監(jiān)管機(jī)構(gòu)重大行政處罰的記錄，不存在因涉嫌重大違法行為正在受到中國(guó)保監(jiān)會(huì)立案調(diào)查的情形；
(6) The applicant has not had the major administrative punishments by financial regulatory authorities within the latest two (2) years and does not have the situations being registered and investigated by CIRC due to its being suspected of major illegal acts;
（七）申請(qǐng)?jiān)O(shè)立省級(jí)分公司以外其他分支機(jī)構(gòu)，在擬設(shè)地所在的省、自治區(qū)、直轄市內(nèi)，省級(jí)分公司最近2年內(nèi)無(wú)受金融監(jiān)管機(jī)構(gòu)重大行政處罰的記錄，已設(shè)立的其他分支機(jī)構(gòu)最近6個(gè)月內(nèi)無(wú)受重大保險(xiǎn)行政處罰的記錄；
(7) where the insurance company is applying for a branch out of the provincial-level branch, within the province, autonomous region or municipality where the branch is to be set up, the provincial-level branch has not had the major administrative punishments by financial regulatory authorities within the latest two (2) years and the other branches having established have not had the records of major insurance administrative punishments within the latest six (6) months;
�。ò耍┯猩暾�(qǐng)人認(rèn)可的籌建負(fù)責(zé)人；
(8) The preparation responsible person accepted by the applicant is available; and
�。ň牛┲袊�(guó)保監(jiān)會(huì)規(guī)定的其他條件。
(9) Other conditions stipulated by CIRC.

第三點(diǎn)第3款 外資保險(xiǎn)公司分支機(jī)構(gòu)申請(qǐng)改建為分公司、中心支公司、支公司或者營(yíng)業(yè)部的，向中國(guó)保監(jiān)會(huì)提出申請(qǐng)；申請(qǐng)改建為營(yíng)銷服務(wù)部的，向當(dāng)?shù)乇１O(jiān)局提出申請(qǐng)。
Article 3.3 A branch of a foreign-funded insurance company that is applying to be reformed as a branch company, a central sub-branch company, a sub-branch company or a business office shall make an application to CIRC, or as a sales service office, make an application to the local insurance regulatory administration.
中國(guó)保監(jiān)會(huì)或者當(dāng)?shù)乇１O(jiān)局自收到完整申請(qǐng)材料之日起20個(gè)工作日以內(nèi)，作出批準(zhǔn)或者不予批準(zhǔn)的書面決定；20個(gè)工作日內(nèi)不能作出決定的，經(jīng)中國(guó)保監(jiān)會(huì)或者當(dāng)?shù)乇１O(jiān)局負(fù)責(zé)人批準(zhǔn)，可以延長(zhǎng)10個(gè)工作日，并告知申請(qǐng)人延長(zhǎng)期限的理由。批準(zhǔn)改建的，頒發(fā)《經(jīng)營(yíng)保險(xiǎn)業(yè)務(wù)許可證》；不予批準(zhǔn)改建的，應(yīng)當(dāng)書面通知申請(qǐng)人并說(shuō)明理由。
CIRC or the local insurance regulatory administration, within twenty (20) business days as the receipt of the complete application documents, shall make a written decision of approving or not approving. If not so, with the approval of the responsible person of CIRC or the local insurance regulatory administration, the deadline may extend for another ten (10) business days and the reason for such extension shall be informed of the applicant. Where the application is approved, CIRC or the local insurance regulatory administration shall issue the Insurance Business Licence; where the application is not approved, CIRC or the local insurance regulatory administration shall inform the applicant in writing and tell it the reason therefor.
